Ltd\u00a0and\u00a0Cloud4C\u00a0Services\u00a0Private\u00a0 Limited\u00a0 by Capgemini SE.The Proposed Combination relates to the acquisition of 100% of the shares of Cloud4C Services Pte. Ltd\u00a0(Target 1)\u00a0and Cloud4C Services Private Limited\u00a0(\u201cTarget 2\u201d, and along with Target 1 as \u201cTargets\u201d)\u00a0by Capgemini SE\u00a0(Acquirer).<strong> <\/strong>The Acquirer, Capgemini SE, is the ultimate parent entity of the Capgemini group (\u201cCapgemini Group\u201d \/ \u201cAcquirer Group\u201d). It is a listed company, and its shares are traded on\u00a0Euronext, Paris.<strong> <\/strong>The Targets are a hybrid cloud managed services provider. The Target group is headquartered in Singapore and conducts most of its operations from India where most of its employees are located.
